Terms of Service — Infragentic

Welcome to Infragentic. These Terms of Service ("Terms") govern access to and use of the Infragentic platform, including its agent runtime, workflows, Agent Office UI, and Chrome Side Panel Copilot.
By creating an account or using the Service, you ("the Customer") agree to be legally bound by these Terms. If you do not agree, do not use the Service.
1. Description of the Service
Infragentic is a production engine for autonomous AI agents (SaaS). It orchestrates long-running workflows, connects to your APIs and databases, executes browser automation through its Chrome Side Panel Copilot, and provides human-in-the-loop approval gates and observability tooling.
Infragentic executes your workflows but does not guarantee specific business outcomes. Agents make recommendations and take actions according to the rules you configure.
2. Customer Obligations
- Maintain valid API keys with your chosen model providers (BYOK).
- Provide and secure your own database connection strings (BYO-DB) and keep credentials confidential.
- Ensure you have the legal right to process the data your agents access.
- Use browser automation only on systems you are authorized to access, and in compliance with the terms of those systems.
- Not reverse-engineer, resell, or clone the Infragentic software.
3. Acceptable Use
- No illegal or harmful activity: Do not use Infragentic for fraud, spam, scraping of unauthorized data, or any activity that violates applicable law or third-party terms.
- No abuse of shared infrastructure: Workflows that degrade the shared worker pool may be throttled or suspended.
- Human-in-the-loop responsibilities: Where approval gates exist, the Customer is responsible for reviewing actions before approval.
4. Fees, Billing, and Cancellation
- Subscriptions: Plans are billed monthly in advance (Developer $0, Growth $79, Enterprise from $499).
- Overage: Tasks beyond plan limits are billed at the published overage rate.
- Model costs: With BYOK, model provider charges are billed directly to you by the provider — never marked up by Infragentic.
- Cancellation: You may cancel anytime with effect from the next billing cycle by emailing hello@infragentic.io. No refunds for the current cycle except as described in the Refund Policy.
5. License and Intellectual Property
The Infragentic platform, source code, UI, algorithms, and brand assets are the exclusive property of Infragentic. The Customer receives a temporary, non-exclusive, non-transferable, revocable license to use the Service for the duration of the subscription. Workflows and templates the Customer creates remain the Customer's property.
6. Data Ownership and Processing
The Customer owns all data stored in its own databases. Infragentic acts as a processor for such data and only accesses it to execute configured workflows. The Customer is responsible for the legality of the data it processes and for obtaining necessary consents from end users.
7. Limitation of Liability
To the maximum extent permitted by law, Infragentic is not liable for indirect, incidental, or consequential damages, including lost profits or lost data, arising from use of the Service. AI outputs are probabilistic; the Customer is responsible for validating actions taken by its agents. Infragentic's aggregate liability for any claim is limited to the fees paid by the Customer in the twelve (12) months preceding the claim.
8. Governing Law and Jurisdiction
These Terms are governed by the laws of the United Mexican States. The parties submit to the competent courts of Mérida, Yucatán, waiving any other jurisdiction to which they might be entitled.
